These Terms of Use (“Terms”) govern your access to and use of the KathIQ website, services, software, digital products, and consulting offerings (collectively, the “Services”) provided by KathIQ (“KathIQ,” “we,” “us,” or “our”).

By accessing, purchasing, or using any part of our Services, you agree to be bound by these Terms.

1. Scope of Services

KathIQ provides revenue operations consulting, CRM implementation, automation design, AI workflow development, managed system services, and optional fractional execution support.

Services may include, but are not limited to:

  • CRM setup and configuration

  • Sales pipeline and automation design

  • AI-powered outreach and workflow systems

  • Ongoing system management

  • Fractional SDR or execution services (as an upgrade)

  • Digital products, templates, or documentation

Specific deliverables, timelines, pricing, and scope are defined in individual proposals, statements of work, or contracts (“Engagement Agreement”).

2. No Guarantee of Results

KathIQ provides systems, strategy, and operational support designed to improve revenue operations efficiency.

However, you acknowledge and agree that:

  • KathIQ does not guarantee increased sales, revenue, conversion rates, or business outcomes

  • KathIQ is not responsible for closing sales, negotiating contracts, or final deal execution

  • Sales performance depends on multiple factors beyond KathIQ’s control, including your team, offer, pricing, market conditions, and execution

KathIQ shall not be held liable for sales performance, revenue outcomes, or business results.

3. CRM Software & Subscription Fees

Certain Services require continued access to CRM software and supporting tools.

  • CRM software access is provided on a subscription basis

  • Subscription pricing and support tiers will be outlined in your Engagement Agreement or contract

  • Failure to maintain required subscriptions may result in limited functionality or suspension of Services

KathIQ is not responsible for third-party platform outages, pricing changes, or service interruptions.

4. Fractional Services & Upgrades

Fractional services (including but not limited to Fractional SDR or execution support) are:

  • Offered only as an upgrade

  • Capacity-limited

  • Subject to availability

Fractional services support system optimization and execution but do not replace a full sales team and do not include closing responsibilities unless explicitly stated in writing.

5. Payment Terms

  • All fees are due as outlined in your Engagement Agreement

  • One-time implementation fees must be paid before work begins unless otherwise agreed

  • Subscription and managed service fees are billed monthly unless otherwise specified

Late or missed payments may result in suspension or termination of Services.

6. No Refund Policy

All sales are final.

KathIQ does not offer refunds for:

  • Consulting services

  • Implementation work

  • Subscription fees

  • Fractional services

  • Digital products

This includes early termination, lack of use, or dissatisfaction unrelated to failure to deliver agreed scope.

7. Credits in Lieu of Refunds

At KathIQ’s sole discretion, credits may be issued in place of refunds.

Credits:

  • May be applied toward future KathIQ services or products

  • Have no cash value

  • Are non-transferable

  • Expire within a timeframe determined by KathIQ

Issuance of credits does not constitute an admission of fault.

8. Client Responsibilities

You agree to:

  • Provide timely access, approvals, and information required for delivery

  • Assign a point of contact for decisions and feedback

  • Use systems and tools in accordance with guidance provided

Delays caused by lack of access, feedback, or participation may impact timelines and outcomes.

9. Intellectual Property

All methodologies, frameworks, workflows, templates, and materials provided by KathIQ remain the intellectual property of KathIQ unless otherwise stated.

You are granted a non-exclusive, non-transferable license to use deliverables internally for your business.

You may not:

  • Resell

  • Distribute

  • Reverse engineer

  • Repurpose for third parties

without written permission.

10. Limitation of Liability

To the maximum extent permitted by law:

  • KathIQ shall not be liable for indirect, incidental, consequential, or special damages

  • Total liability shall not exceed the fees paid to KathIQ in the three (3) months preceding the claim

KathIQ is not liable for:

  • Lost revenue or profits

  • Missed sales opportunities

  • CRM misuse or user error

  • Third-party platform failures

11. Termination

Either party may terminate Services in accordance with the Engagement Agreement.

Upon termination:

  • Outstanding fees remain due

  • No refunds will be issued

  • Access to systems may be revoked if subscriptions lapse

12. Confidentiality

Both parties agree to maintain confidentiality of non-public business information shared during the engagement unless disclosure is required by law.

13. Modifications to Terms

KathIQ reserves the right to update these Terms at any time. Updates will be posted on the website with an updated effective date.

Continued use of Services constitutes acceptance of revised Terms.

14. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.
